Terms of use

These Terms of Service (“Terms”) are an agreement between you and Grainwork, Inc. (“Grainwork,” “we,” “us,” or “our”). They govern your access to and use of the Grainwork website, the Grainwork application, and any related services, communications, waitlists, beta programs, and pre-release materials we make available (together, the “Service”).
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy, which is part of this agreement. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf, and “you” means that organization as well as you personally. You must be at least 18 years old. Grainwork is business software and is not directed to consumers or to children.
About Grainwork
Grainwork is cabinet design and manufacturing software for production cabinet and millwork shops. The Service generates drawings, reports, bills of material, cut lists, part sizes, pricing, nests, toolpaths, machine code, and other outputs from the information, standards, and settings that you and your organization supply.
Grainwork assists your work. It does not replace your engineering judgment, your quality control, your shop’s review process, or your operators’ responsibility for safe machine operation. The section titled Your responsibility for outputs below is the most important section of these Terms for a shop that cuts real material, and you should read it carefully.
Accounts and workspaces
To use the Service you create an account and a workspace for your company. You agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for all activity under your account and under your workspace, including activity by the users you invite.
Named user accounts are for one individual each and may not be shared. You are responsible for making sure everyone you give access to complies with these Terms.
Tell us promptly at compliance@grainwork.io if you believe an account has been compromised or accessed without authorization.
Beta and pre-release use
Grainwork may make features, or the entire Service, available on a beta, preview, early-access, or otherwise pre-release basis. When the Service or a feature is identified as beta, in-app or otherwise:
it may contain defects, produce incorrect results, or behave inconsistently;
features may change substantially, or be withdrawn, at any time;
we do not commit to any uptime, availability, support response time, or service level;
data may be migrated, reset, or lost during development, and you should keep your own copies of anything you cannot afford to lose;
we may end the beta program, or your participation in it, at our discretion.
Beta access does not entitle you to general availability of the Service, to any particular feature, to any particular price, or to continued access after the beta period.
Subscriptions, fees, and billing
Paid access to the Service is sold on a subscription basis, priced per designer seat at the rate shown at the time of purchase. Unless your order says otherwise:
Renewal. Subscriptions renew automatically for successive periods until cancelled. You authorize us and our payment processor to charge your payment method on each renewal.
Seats. You may add seats during a term; added seats are billed at the then-current rate and, where applicable, prorated for the remainder of the term. Reductions in seat count take effect at the start of the next renewal period.
Trials. If we offer a free trial, it converts to a paid subscription at the end of the trial period unless you cancel before it ends.
Taxes. Fees are exclusive of sales, use, VAT, and similar taxes, which are your responsibility.
Non-payment. If a payment fails, we may retry it, notify you, and after a grace period suspend or terminate access until the balance is paid.
Cancellation. You may cancel at any time. Cancellation takes effect at the end of the then-current billing period, and you keep access until then. Fees already paid are non-refundable except where required by law or where we agree otherwise in writing.
Price changes. We may change prices on renewal by giving you notice before the renewal date.
Payments are processed by a third-party payment processor. We do not store full payment card numbers.
Your content and data
You keep ownership of the designs, drawings, projects, standards, files, customer information, and other content you or your organization put into the Service (“Your Content”). We do not claim ownership of your work.
You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, process, display, and back up Your Content, and to make it available to the users in your workspace, solely for the purpose of providing, securing, supporting, and improving the Service for you. This license ends when Your Content is deleted, except for copies retained in routine backups for a limited period.
How we study usage to improve the Service, and our commitment not to sell your information, are described under How we use data to improve Grainwork below.
You represent that you have the rights necessary to submit Your Content and that Your Content does not infringe the rights of any third party or violate applicable law. When you enter information about your own customers or employees into the Service, you are responsible for having a lawful basis to do so and for your own privacy obligations to those people.
How we use data to improve Grainwork
We study how Grainwork is used so we can make it better — understanding which features matter, deciding what to build next, forecasting demand for new capabilities, finding where the product is slow or confusing, and improving the defaults, suggestions, and starting points we offer.
Some features suggest settings, values, or starting points based on patterns across many shops — for example, what a typical value for a given setting tends to be. Those suggestions are built from aggregated and de-identified patterns only. They never expose one customer's designs, standards, pricing, customers, or business information to another customer, and they never identify the shop a pattern came from.
We may also produce aggregated, de-identified statistics and benchmarks about use of the Service, and we may use your feedback, support requests, and bug reports to improve the product. None of this identifies you, your organization, your customers, or your designs to anyone else.
We do not sell your data. We do not sell, rent, or trade your information or Your Content to third parties, and we do not share it for advertising, ad targeting, or third-party marketing. Your designs, your pricing, and your customer information remain yours.
Support access to your workspace
To investigate a problem, answer a support request, or keep the Service running correctly, Grainwork staff may access your workspace and the data in it — including projects, rooms, cabinets, standards, materials, customers, and settings — and may make changes where that is necessary to resolve the issue.
Access of this kind is time-limited and recorded. While it is active, an indicator appears in your workspace showing that Grainwork support has access, who opened it, and the reason they gave. Any administrator or owner on your account can end that access immediately, and it expires on its own.
We use this access only to operate, secure, support, and repair the Service for you. We do not use your designs, pricing, customer lists, or other business information for any other purpose.
Your responsibility for outputs
You are solely responsible for reviewing, verifying, testing, and approving every output of the Service before it is used in production. This includes, without limitation, dimensions, part sizes, quantities, materials, grain direction, edge banding, hardware, joinery, clearances, drawings, bills of material, cut lists, nests, labels, cost and price calculations, toolpaths, drill patterns, post-processed machine code, and any other file or instruction the Service produces.
Outputs are generated from the inputs, standards, catalogs, machine definitions, tooling, and settings that you supply or configure. Incorrect, incomplete, or inconsistent inputs will produce incorrect outputs. The Service does not know your actual material on hand, your actual tooling condition, your actual machine setup, or your actual site conditions.
Before cutting, machining, boring, assembling, ordering, quoting, or installing, you are responsible for your own verification, including proving out programs, confirming tool offsets and origins, running dry cycles where appropriate, and applying your own quality control and safety procedures. The Service is not a substitute for the independent judgment of a qualified person in your shop.
To the fullest extent permitted by law, Grainwork is not responsible for scrapped or wasted material, rework, remakes, missed deadlines, lost production time, damage to machines, tooling, workpieces, inventory, facilities, or other property, personal injury, or claims by your customers, in each case arising from your use of or reliance on outputs of the Service.
Machinery, tooling, and machine safety
The Service can generate machine code and other instructions intended for CNC machinery and related equipment. You are responsible for the safe operation of your equipment at all times. That includes operator training, guarding, lockout procedures, machine limits, collision avoidance, tooling selection and condition, fixturing, and compliance with the machine manufacturer’s documentation and with applicable safety regulations.
Machine definitions, posts, tool libraries, and drill bank configurations in the Service describe equipment as it has been configured by you or on your behalf. We do not warrant that any generated program will be compatible with, or safe to run on, any particular machine, control, post-processor version, or tooling setup. Never run a generated program on a machine without verifying it first.
Third-party services, equipment, and integrations
The Service may interoperate with third-party hardware, machinery, controls, software, file formats, and services. We do not warrant that any third-party product or integration will be available, remain compatible, or continue to function after a change made by the third party. Unless we agree otherwise in writing, we have no obligation to develop, maintain, or preserve compatibility with any particular third-party product, protocol, format, or future release of it.
Your use of a third-party product or service is governed by that third party’s own terms, and we are not responsible for it.
Imported and converted data
You are responsible for providing data, drawings, catalogs, and files in formats the Service supports. Unless we agree otherwise in writing, we are not responsible for converting, reformatting, cleansing, validating, or correcting your data, and imported data must be reviewed by you for accuracy before it is relied on.
Backups
You are responsible for maintaining your own copies of anything you cannot afford to lose. Any backups we keep are for our own operational purposes and are not a backup, archival, or disaster-recovery service for you. We do not guarantee that any particular backup will exist or be restorable.
AI-assisted features
The Service includes features that use artificial intelligence to generate, summarize, classify, answer, render, or otherwise assist with your work. AI output is probabilistic and may be inaccurate, incomplete, or unsuitable. It is subject to the same verification responsibility as every other output of the Service, and you should not rely on it without review by a qualified person.
Content you submit to AI features, and the context needed to serve them, is processed by service providers we engage for AI processing. A current list of our service providers is available on request at compliance@grainwork.io. Do not submit confidential third-party information, regulated data, or sensitive personal information to AI features unless you are permitted to do so and it is needed for the workflow.
Acceptable use
You agree not to:
probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
access data, accounts, or workspaces you are not authorized to access;
upload or transmit malware or anything designed to damage or disrupt the Service;
scrape, crawl, or use automated means to access the Service in a way that harms its performance, or impose a disproportionate load on our infrastructure;
reverse engineer, decompile, or disassemble the Service, except to the extent applicable law expressly permits it;
resell, sublicense, rent, lease, or provide the Service to third parties as a service bureau, other than using it to serve your own customers in the ordinary course of your business;
use the Service, or information obtained from it, to build or assist in building a competing product or service;
share seats or credentials to exceed the number of seats you have purchased;
use the Service in violation of applicable law, including export control and sanctions laws;
remove or obscure any proprietary notice in the Service.
Our intellectual property
The Service — including the software, models, catalogs, standards libraries, templates, interfaces, documentation, name, logo, and branding — is owned by Grainwork or its licensors and is protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your own internal business purposes. No other rights are granted, and nothing in these Terms transfers ownership of the Service to you.
Feedback
If you send us ideas, suggestions, comments, bug reports, or feature requests, you agree that we may use them without restriction, obligation, or compensation to you. Please do not send us information you consider confidential unless we have a separate written agreement covering it.
Confidentiality
Each of us may receive non-public information from the other. Each of us agrees to protect the other’s non-public information with reasonable care and to use it only in connection with the Service. This does not apply to information that is or becomes public without breach, that was already known, that is independently developed, or that must be disclosed by law.
Privacy
Our handling of personal information is described in our Privacy Policy, which is part of these Terms. The categories of third parties that process data on our behalf are described in the Privacy Policy. A current list is available on request at compliance@grainwork.io.
Website, waitlist, and communications
You may use the Grainwork website to learn about Grainwork, join the waitlist, request updates, contact us, and express interest in beta access, demos, or future availability. Joining the waitlist does not guarantee access, beta participation, a launch date, a price, or availability. Any timelines we share are goals, not promises.
Public website content, updates, screenshots, descriptions, roadmap statements, and feature references are informational only and may change. We are not responsible for decisions you make based on pre-release descriptions or development updates.
Email. By joining the waitlist, creating an account, or contacting us, you agree that we may send you emails about Grainwork, including product updates, beta information, release notes, launch announcements, and responses to your inquiries. You may unsubscribe from marketing emails using the link in those emails. We will still send you transactional and account messages.
SMS. By providing your phone number and opting in, you agree that we may send you text messages about product updates, waitlist status, beta access, demo scheduling, launch information, or responses to your inquiries. Message frequency may vary. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out or HELP for help, or contact compliance@grainwork.io.
Suspension, termination, and your data
You may stop using the Service at any time and cancel as described above. We may suspend or terminate your access if you materially breach these Terms, if your account is past due, if we reasonably believe your use creates a security, legal, or operational risk, or if we are required to by law. Where practical we will give you notice and an opportunity to fix the problem first.
We may also discontinue the Service, in whole or in part. If we discontinue a paid Service for reasons other than your breach, we will give you reasonable notice and refund any prepaid fees covering the period after discontinuation.
After termination you will have thirty (30) days to export Your Content using the export features of the Service or by asking us at compliance@grainwork.io. After that period we may delete Your Content, subject to routine backup retention and to records we are required or permitted to keep.
Disclaimers
THE SERVICE, INCLUDING ALL OUTPUTS, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, GRAINWORK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT IT WILL MEET YOUR REQUIREMENTS OR FIT YOUR SHOP’S WORKFLOW; THAT DEFECTS WILL BE CORRECTED; OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, MANUFACTURABLE, CODE-COMPLIANT, OR SAFE TO RUN ON ANY PARTICULAR MACHINE. ANY RELIANCE ON THE SERVICE OR ITS OUTPUTS IS AT YOUR OWN RISK.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GRAINWORK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OR CORRUPTED DATA, LOST GOODWILL, BUSINESS INTERRUPTION, PRODUCTION DOWNTIME, WASTED OR SCRAPPED MATERIAL, REWORK OR REMAKE COSTS, COST OF SUBSTITUTE GOODS OR SERVICES, OR DAMAGE TO EQUIPMENT OR PROPERTY, IN EACH CASE ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, GRAINWORK’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID GRAINWORK FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. YOU AND GRAINWORK AGREE THAT THESE LIMITATIONS ARE AN AGREED ALLOCATION OF RISK THAT IS REFLECTED IN THE PRICE OF THE SERVICE.
Indemnification
You agree to indemnify, defend, and hold harmless Grainwork and its officers, directors, employees, contractors, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Your Content; (b) your use of the Service, including any use of its outputs in manufacturing, fabrication, installation, quoting, or purchasing; (c) claims by your customers, employees, or other third parties relating to work you performed using the Service; (d) your violation of these Terms or of applicable law; or (e) your violation of the rights of a third party.
Changes to the Service and to these Terms
We may change, add, or remove features of the Service. We may also update these Terms. When we do, we will post the updated version with a new effective date and a new version number. If a change is material, we will ask you to accept the updated Terms the next time you sign in, or give you notice by another reasonable means. Continuing to use the Service after an update takes effect means you accept it.
Governing law and venue
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules, and excluding the U.N. Convention on Contracts for the International Sale of Goods. Any claim or action arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in [[COUNTY]] County, Indiana, and you consent to the personal jurisdiction of those courts and waive any objection that they are an inconvenient forum.
To the extent permitted by law, any claim must be brought within one (1) year after it arises.
General
Assignment. You may not assign these Terms without our written consent, except to a successor of your business by merger or sale of substantially all assets. We may assign these Terms without restriction.
Severability and waiver. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the rest of these Terms remain in effect. Our failure to enforce a provision is not a waiver of it.
Force majeure. Neither party is liable for a failure to perform caused by events beyond its reasonable control, including outages of infrastructure providers, natural disasters, labor disputes, and acts of government.
Relationship. No partnership, joint venture, employment, or agency relationship is created by these Terms.
Survival. Provisions that by their nature should survive termination — including ownership, feedback, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — survive.
Entire agreement. These Terms, together with the Privacy Policy and any order or written agreement we sign with you, are the entire agreement between us about the Service and supersede prior discussions. If a signed agreement with you conflicts with these Terms, the signed agreement controls for the subject it covers.
